Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Firebell House Pty Ltd (ACN 696 044 283) ("we", "us", "our"), governing your use of the Halftime platform at halftime.coffee ("Service"). By creating an account or using the Service, you agree to these Terms.

1. Account Terms

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account and for all activity that occurs under it. You must be at least 16 years old to use the Service.

You may not use the Service for any illegal purpose or in violation of any applicable laws. You may not use the Service to harass, abuse, or harm other users.

2. Teams and Organisations

The Service allows you to create or join teams. Team administrators are responsible for managing their team's membership and settings. Administrators can invite and remove members, configure games, and manage team billing.

When you join a team, your name, profile image, game scores, and activity are visible to other team members. This is fundamental to how the Service works (leaderboards, streaks, and team activities).

3. Acceptable Use

You agree not to:

• Use automated tools, bots, or scripts to interact with the Service
• Attempt to manipulate game scores, leaderboards, or results
• Reverse engineer, decompile, or disassemble any part of the Service
• Upload or share content that is offensive, abusive, or illegal
• Interfere with or disrupt the Service or its infrastructure
• Share your account credentials or allow others to access your account
• Use the Service to compete with or build a similar product

4. Payment Terms

Subscriptions

Paid plans are billed in advance on a monthly or annual basis. Prices are in US dollars unless otherwise stated. All fees are exclusive of applicable taxes, which will be added where required.

Free Trial

We may offer a free trial period. At the end of the trial, your account will be charged at the applicable rate unless you cancel before the trial ends.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of that period. We do not provide prorated refunds for partial billing periods.

Refunds

If you are unsatisfied with the Service, contact us within 14 days of your initial purchase for a full refund. After 14 days, refunds are at our discretion. Refund rights under Australian Consumer Law are not affected by this clause.

Price Changes

We may change our prices with 30 days' notice. Price changes take effect at the start of your next billing period after the notice date.

5. Intellectual Property

Our Property

The Service, including its design, code, games, artwork, and branding, is owned by Firebell House Pty Ltd and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our written permission.

Your Content

You retain ownership of any content you submit to the Service (such as creative challenge responses, captions, or profile information). By submitting content, you grant us a non-exclusive, worldwide, royalty-free licence to use, display, and distribute that content within the Service for the purpose of operating the platform (e.g., displaying it to your team members).

Feedback

If you provide feedback or suggestions about the Service, we may use them without restriction or obligation to you.

6. Service Availability

We strive to keep the Service available and reliable, but we do not guarantee 100% uptime. The Service is provided "as is" and "as available". We may perform maintenance, updates, or modifications that temporarily affect availability.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of any material changes.

7. Limitation of Liability

To the maximum extent permitted by law, Firebell House Pty Ltd and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or AUD $100, whichever is greater.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability under the Australian Consumer Law for failure to comply with consumer guarantees.

8. Indemnification

You agree to indemnify and hold harmless Firebell House Pty Ltd from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

You may close your account at any time by contacting us at hello@halftime.coffee.

We may suspend or terminate your account if you violate these Terms, if your use of the Service poses a security risk, or if we are required to do so by law. We will provide notice where reasonably possible.

Upon termination, your right to use the Service ceases immediately. Your personal data will be handled in accordance with our Privacy Policy.

10. Dispute Resolution

These Terms are governed by the laws of Victoria, Australia. Any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at hello@halftime.coffee.

11. General

• If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
• Our failure to enforce any right or provision does not constitute a waiver of that right.
• These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
• We may assign our rights and obligations under these Terms without your consent (for example, in connection with a merger or acquisition).

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. If the changes materially affect your rights, we will provide at least 30 days' notice via email or an in-app notification. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
